1. Agreement to Terms

By accessing or using Dappi ("Service"), operated by Dappi ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Dappi is a "vibe coding" platform that enables users to build data applications by connecting to their Snowflake data warehouse and using natural language prompts to generate queries, dashboards, and data applications. The Service acts as an interface layer between you and your Snowflake account and does not replace Snowflake or any other data warehouse solution.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and accept all risks of unauthorized access
Notify us immediately of any unauthorized use of your account
Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Snowflake Connection and Data

By connecting your Snowflake account to Dappi:

You represent that you have the authority to grant Dappi access to your Snowflake account
You are responsible for ensuring compliance with your organization's policies and any applicable Snowflake terms
You acknowledge that Dappi will execute queries against your Snowflake account based on your instructions
You are solely responsible for any charges incurred in your Snowflake account as a result of queries executed through Dappi
You are responsible for the security and appropriate use of your Snowflake credentials

We are not responsible for any data loss, corruption, or unauthorized access that results from your use of the Service with your Snowflake account.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights
Upload or transmit viruses, malware, or other malicious code
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to process, store, or transmit data that you do not have the right to use
Circumvent any access or security measures
Use automated means to access the Service without our permission
Resell or redistribute the Service without authorization
Use the Service in any manner that could damage, disable, or impair the Service

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Dappi and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

6.2 Your Content

You retain ownership of any content, data, and materials you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to use, process, and display Your Content solely to provide the Service to you. This license terminates when you delete Your Content or your account.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. Payment and Subscription

7.1 Pricing

Some features of the Service require payment. Prices are subject to change with reasonable notice. By subscribing to a paid plan, you agree to pay the applicable fees.

7.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees due.

7.3 Refunds

Refunds are provided at our sole discretion. Generally, fees are non-refundable except where required by law.

7.4 Free Trials and Beta Features

We may offer free trials or beta features. These are provided "as is" without warranty. We reserve the right to modify, suspend, or discontinue free trials or beta features at any time. Beta features may contain bugs, errors, or other issues and should not be used for production workloads unless you accept these risks.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, error-free, or secure
Warranties regarding the accuracy, reliability, or completeness of any content
Warranties that the Service will meet your specific requirements
Warranties regarding the results obtained from use of the Service
Warranties that AI-generated queries or outputs will be accurate, appropriate, or free from errors

You acknowledge that the Service uses artificial intelligence, which may produce unexpected, inaccurate, or inappropriate results. You are solely responsible for reviewing and validating any queries or outputs before execution or use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DAPPI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Any loss of profits, revenue, data, or business opportunities
Any damages resulting from unauthorized access to or use of our servers or your data
Any damages resulting from interruption or cessation of the Service
Any damages resulting from bugs, viruses, or other harmful code
Any damages resulting from your use of or inability to use the Service
Any damages resulting from AI-generated queries, including but not limited to incorrect results, data modification, or data loss
Any Snowflake charges or costs incurred as a result of using the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Dappi and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) your connection to or use of Snowflake through our Service; or (e) any content or data you submit to the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

Breach of these Terms
Suspected fraudulent, abusive, or illegal activity
Non-payment of fees
At our sole discretion for any other reason

Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language in Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Service Availability and Modifications

We reserve the right to:

Modify, suspend, or discontinue the Service at any time without notice
Change features, functionality, or pricing with reasonable notice
Impose limits on certain features or restrict access to parts of the Service
Update these Terms at any time

We are not liable for any modification, suspension, or discontinuation of the Service.

14. Third-Party Services

The Service may integrate with or require third-party services, including Snowflake. Your use of such third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or content of third-party services, nor for any loss or damage caused by your use of them.

15. Export Compliance

You agree to comply with all applicable export laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. government list of prohibited or restricted parties.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dappi regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Notices

We may provide notices to you via email or by posting on the Service. You agree to keep your email address current.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, for significant changes, by email or prominent notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
